By accessing or using the App Nest LLC website and services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

We provide digital product design and development services, including mobile development, web development, AI solutions, UI/UX design, digital strategy, and custom software. The specific scope, deliverables, fees, and timeline for any engagement are defined in a separate written agreement or statement of work.

In the event of a conflict between these Terms and a signed agreement, the signed agreement governs.

Project terms, milestones, and payment schedules are set out in the applicable proposal or statement of work. Unless stated otherwise, invoices are due within the period specified, and late payments may pause work or accrue interest as permitted by law.

You agree to provide accurate information, timely feedback, and any materials or access reasonably necessary for us to perform the services. Delays in providing these may affect project timelines and costs.

Upon full payment, ownership of the final deliverables created specifically for you transfers to you, except for any pre-existing materials, third-party components, or open-source software, which remain subject to their respective licenses.

We retain the right to use general knowledge, skills, and techniques acquired during an engagement, and—unless agreed otherwise—to reference the work in our portfolio.

Each party agrees to protect the other's confidential information and to use it only for purposes of the engagement. These obligations survive the completion or termination of any project.

We perform our services in a professional and workmanlike manner. Except as expressly stated, the website and services are provided “as is” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, App Nest LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, and our total liability for any claim will not exceed the amounts paid by you for the services giving rise to the claim.

Either party may terminate an engagement as provided in the applicable agreement. Upon termination, you agree to pay for all services performed and expenses incurred up to the effective date of termination.

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming.

We may revise these Terms from time to time. The “Last updated” date above reflects the most recent version, and continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
